These Terms & Conditions ("Terms") govern the use of our website, products, services, communications, proposals, quotations, agreements, and all professional engagements provided by DigitalBrand Advertisement Services ("DBAS", "we", "our", or "us").
By accessing our website, requesting a quotation, signing an agreement, making a payment, or using any of our services, you ("Client", "Customer", "User") agree to comply with these Terms & Conditions.

ACCEPTANCE OF TERMS
By engaging with DBAS, you confirm that:
- You are at least 18 years of age or legally authorized to represent your organization.
- The information you provide is accurate and complete.
- You agree to these Terms and any documents incorporated by reference, including our Privacy Policy and project agreements.

Any service outside the agreed scope may require a separate quotation and approval.
PROJECT ONBOARDING
To commence any project, clients may be required to provide:
- Business Information
- Contact Information
- Brand Assets
- Logos
- Product Images
- Product Videos
- Social Media Access
- Marketing Objectives
- Required Documents
Incomplete onboarding information may delay project commencement.
CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate information.
- Provide original content or content they are legally permitted to use.
- Respond to approvals and queries within a reasonable timeframe.
- Cooperate throughout the project.
- Ensure information supplied is lawful and does not infringe third-party rights.
- Review all deliverables before publishing.
DBAS is not responsible for errors resulting from incorrect information supplied by the Client.
PROJECT SCOPE
The agreed Proposal, Quotation, Package Details, or Service Level Agreement (SLA)/ Master Service Agreement (MSA) defines the scope of work.
Any request beyond the agreed scope shall be considered additional work and may attract additional charges after mutual agreement.
PROJECT TIMELINES
Project timelines begin only after:
- Required information has been received.
- Agreement has been finalized (where applicable).
- Payment obligations have been fulfilled as agreed.
Delays caused by late approvals, incomplete information, or external factors may extend delivery timelines.
PRICING
Prices are based on:
- Scope of Work
- Complexity
- Deliverables
- Duration
- Custom Requirements
DBAS reserves the right to revise pricing for future engagements. Any change will not affect services already agreed unless both parties mutually consent.
PAYMENTS
Payment terms will be specified in the Proposal, Invoice, or Agreement.
Accepted payment methods may include:
- Bank Transfer
- UPI
- Other mutually agreed methods
Invoices should be paid within the agreed payment period.
Late payments may result in suspension or postponement of services until outstanding amounts are cleared.
INVOICES
- An official invoice will be issued for billable services.
- Clients are responsible for verifying invoice details and notifying DBAS of any discrepancies within a reasonable time.
REVISIONS
- Revisions are included according to the selected service package or proposal.
- Revision requests must relate to the approved project scope.
- Additional revisions or substantial changes beyond the agreed scope may incur additional charges.
CLIENT APPROVAL
- Clients are responsible for reviewing all designs, content, videos, advertisements, captions, and marketing materials before publication.
- Approval may be provided through email, WhatsApp, or another mutually agreed communication method.
- Once approved and published, any subsequent modifications may be treated as a new revision or new project.
ADVERTISING SERVICES
- DBAS provides campaign setup, management, monitoring, and optimization services.
- Advertising platform charges (such as Meta/Facebook, Instagram, Google, or other platform advertising costs) are separate from DBAS service fees unless expressly stated otherwise.
- DBAS cannot control advertising platform policies, algorithm changes, ad approvals, or account restrictions.
PERFORMANCE DISCLAIMER
Digital marketing outcomes depend on numerous factors beyond DBAS's control.
Accordingly, DBAS does not guarantee:
- Sales
- Revenue
- Profit
- Customer Growth
- Lead Generation Volume
- Viral Reach
- Search Engine Rankings
- Return on Advertising Spend (ROAS)
- Business Expansion
Marketing performance may be influenced by:
- Product Quality
- Pricing
- Customer Experience
- Delivery Timelines
- Competition
- Market Conditions
- Seasonality
- Consumer Preferences
- Platform Algorithms
DBAS commits to delivering professional services but cannot guarantee specific business outcomes.
INTELLECTUAL PROPERTY
Client-owned content remains the property of the Client.
Upon receipt of full payment, the Client receives the agreed usage rights for the final deliverables unless otherwise specified.
DBAS retains ownership of:
- Internal Templates
- Processes
- Frameworks
- Standard Operating Procedures
- Internal Documentation
- Proprietary Workflows
Unless otherwise agreed, DBAS may display completed work in its portfolio for promotional purposes. Clients may request confidentiality for specific projects in writing.
CONFIDENTIALITY
Both Parties agree to maintain confidentiality regarding non-public business information shared during the engagement.
Neither party shall intentionally disclose confidential information to unauthorized persons unless:
- Required by law.
- Authorized by the other party.
- Necessary to perform the agreed services.
DATA SECURITY
DBAS implements reasonable administrative and technical measures to protect client information. However, no electronic system can be guaranteed to be completely secure.
Clients are encouraged to use strong passwords, enable multi-factor authentication where available, and provide access using authorized user roles rather than sharing personal credentials.
THIRD-PARTY PLATFORMS
Our services may involve third-party platforms including, but not limited to:
- Meta (Facebook & Instagram)
- Canva
- Hosting Providers
- Cloud Storage Services
DBAS is not responsible for:
- Platform outages
- Service interruptions
- Account suspensions
- Policy changes
- Technical issues originating from third-party platforms
LIMITATION OF LIABILITY
- To the fullest extent permitted by applicable law, DBAS shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
- DBAS's total liability for any claim shall not exceed the amount actually paid by the Client for the specific services giving rise to the claim.
- Nothing in these Terms limits liability where such limitation is not permitted by law.
TERMINATION
Either party may terminate an ongoing engagement in accordance with the applicable agreement.
Upon termination:
- Completed work remains payable.
- Outstanding invoices remain due.
- Access granted for project execution may be withdrawn.
FORCE MAJEURE
DBAS shall not be responsible for delays or failure to perform obligations caused by events beyond reasonable control, including natural disasters, government actions, internet outages, cyber incidents, pandemics, strikes, or other unforeseen circumstances.
WEBSITE USE
Users agree not to:
- Attempt unauthorized access.
- Disrupt website operations.
- Upload malicious software.
- Copy website content without permission.
- Use the website for unlawful purposes.
GOVERNING LAW
- These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.
- Any disputes shall be subject to the jurisdiction of the competent courts having authority over the place where DBAS is established, unless otherwise agreed by the parties.
CHANGES TO THESE TERMS
- DBAS reserves the right to update these Terms & Conditions at any time.
- Updated versions will be published on our website.
- Continued use of our services after updates constitutes acceptance of the revised Terms.

MISUSE POLICY & CLIENT BUSINESS OUTCOME POLICY
DigitalBrand Advertisement Services (DBAS)
PURPOSE
DigitalBrand Advertisement Services ("DBAS") is committed to providing professional, ethical, and transparent digital marketing, branding, advertising, and creative services.
This policy establishes clear expectations regarding the acceptable use of our services and clarifies that business outcomes depend on multiple factors beyond the scope of marketing services.
Our objective is to protect both the Client and DBAS while maintaining a long-term professional relationship.
ACCEPTABLE USE OF OUR SERVICES
Clients agree to use DBAS services only for lawful and ethical business purposes.
Clients shall not use our services to promote, publish, advertise, or distribute content that:
- Violates applicable laws or regulations.
- Is fraudulent or misleading.
- Infringes intellectual property rights.
- Contains false or deceptive claims.
- Promotes discrimination, hatred, or violence.
- Contains malicious software or harmful content.
- Misrepresents another business, organization, or individual.
DBAS reserves the right to refuse or discontinue services that conflict with applicable law or our professional standards.
MISUSE OF DESIGNS, CONTENT & DELIVERABLES
Clients shall not:
- Alter DBAS branding in a manner that falsely represents our work.
- Remove copyright or ownership notices where applicable.
- Resell DBAS proprietary templates, internal documents, or processes without written permission.
- Use marketing materials for unlawful purposes.
- Present draft designs as final approved versions without authorization.
MISUSE OF ACCOUNT ACCESS
If DBAS is granted access to social media accounts, advertising platforms, or business tools, such access shall be used solely for performing the agreed services.
Clients agree not to:
- Request DBAS to perform actions that violate platform policies.
- Request fake followers, fake reviews, fake engagement, or fraudulent marketing practices.
- Ask DBAS to access accounts unrelated to the agreed project.
Similarly, DBAS shall never intentionally misuse client accounts, credentials, or confidential information.
CLIENT-PROVIDED CONTENT
The Client is solely responsible for ensuring that all information, photographs, videos, logos, trademarks, slogans, and promotional materials provided to DBAS:
- Are accurate.
- Are legally owned or properly licensed.
- Do not infringe third-party rights.
- Do not violate any applicable law.
DBAS will reasonably rely on the accuracy of information supplied by the Client and is not responsible for independently verifying every claim.
CLIENT BUSINESS OUTCOME POLICY
DBAS provides professional digital marketing, branding, advertising, and social media management services.
Marketing is one component of business growth.
Business success depends upon many additional factors that remain under the Client's control.
Accordingly, DBAS does NOT guarantee:
- Sales
- Revenue Growth
- Profitability
- Customer Acquisition Numbers
- Lead Conversion Rates
- Return on Investment (ROI)
- Return on Advertising Spend (ROAS)
- Viral Content
- Search Engine Rankings
- Market Leadership
- Business Expansion
FACTORS THAT INFLUENCE BUSINESS RESULTS
Business performance may be influenced by factors including, but not limited to:
- Product Quality
- Product Availability
- Pricing Strategy
- Customer Service
- Delivery Performance
- Inventory Availability
- Customer Reviews
- Brand Reputation
- Competition
- Seasonal Demand
- Economic Conditions
- Consumer Behaviour
- Advertising Budget
- Government Policies
- Market Trends
- Platform Algorithm Changes
- Customer Preferences
Because these factors are outside DBAS's direct control, no specific business outcome can be guaranteed.
PERFORMANCE EXPECTATIONS
DBAS commits to:
- Creating professional marketing materials.
- Developing effective branding strategies.
- Managing campaigns responsibly.
- Providing recommendations based on industry practices.
- Continuously improving campaign performance where reasonably possible.
DBAS does NOT promise specific numerical business results.
NO GUARANTEE OF SALES
- Marketing creates opportunities for customers to discover your business.
- The final decision to purchase is made by the customer.
- Sales are ultimately influenced by the Client's products, pricing, service quality, customer experience, and operational effectiveness.
- DBAS cannot guarantee that every advertisement, post, or campaign will generate sales.
CLIENT COOPERATION
Successful marketing requires active cooperation between both parties.
The Client agrees to:
- Provide timely approvals.
- Share accurate business information.
- Supply product photos and videos where required.
- Respond to queries promptly.
- Implement agreed recommendations when appropriate.
Delays in communication or approvals may affect project timelines and campaign performance.
NO MISUSE OF DBAS REPUTATION
Clients shall not:
- Publish false or misleading statements about DBAS.
- Misrepresent the services provided.
- Attribute unrelated business outcomes to DBAS.
- Use DBAS branding without permission.
Constructive feedback is always welcomed and encouraged.
NO MISUSE OF CLIENT INFORMATION
DBAS shall not intentionally:
- Disclose confidential business information.
- Share passwords or credentials.
- Sell customer databases.
- Reveal pricing strategies.
- Misuse marketing plans.
Protecting client confidentiality is a fundamental principle of our business.
ETHICAL MARKETING COMMITMENT
DBAS follows ethical marketing practices and will not knowingly engage in activities such as:
- Buying fake followers.
- Purchasing fake reviews.
- Creating misleading advertisements.
- Publishing deceptive claims.
- Violating advertising platform policies.
Our objective is to build sustainable brand credibility rather than short-term artificial growth.
DISPUTE RESOLUTION
If either party has concerns regarding project performance or expectations, both parties agree to first attempt an amicable resolution through discussion before pursuing any formal action.
RIGHT TO REFUSE OR TERMINATE SERVICES
DBAS reserves the right to refuse or discontinue services if a Client:
- Requests unlawful activities.
- Violates these policies.
- Misuses DBAS deliverables.
- Engages in abusive, threatening, or fraudulent conduct.
Where appropriate, completed work and outstanding payments will remain subject to the applicable agreement.
